Definitions

Buyer means the individual or organisation that buys or agrees to buy the Goods from the Seller Airia Compressed Air Systems Ltd Consumer shall have the meaning ascribed in section 12 of the Unfair Contract Terms Act 1977. Contract means the contract between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions. Goods means the articles that the Buyer agrees to buy from the Seller. Seller means:  Airia Compressed Air Solutions Ltd., Unit B4, The Premier Centre, Abbey Park Industrial Estate, Romsey, Hampshire. SO51 9DG registered in England & Wales under number 6864962 Buyer means [TRADING NAME AND ADDRESS OF BUYER] Terms and Conditions means the terms and conditions of sale set out in this agreement and any special terms and conditions agreed in writing by the Seller.

Conditions

Nothing in these Terms and Conditions shall affect the Buyer’s statutory rights as a Consumer. These Terms and Conditions shall apply to all contracts for the sale of Goods by the Seller to the Buyer and shall prevail over any other documentation or communication from the Buyer. Acceptance of delivery of the Goods shall be deemed conclusive evidence of the Buyer’s acceptance of these Terms and Conditions. Any variation to these Terms and Conditions (including any special terms and conditions agreed between the parties) shall be inapplicable unless agreed in writing by the Seller. Ordering and Delivering

All orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms and Conditions and are subject to acceptance by the Seller. The Seller may choose not to accept an order for any reason. Where the Goods ordered by the Buyer are not available from stock the Buyer shall be notified of an estimated despatch date and given the option to either wait until the Goods are available from stock or cancel the order. The Seller shall use its reasonable endeavours to meet any date agreed for delivery. In any event, time of delivery shall not be of the essence and the Seller shall not be liable for any losses, costs, damages or expenses incurred by the Buyer or any third party arising directly or indirectly out of any failure to meet any estimated delivery date. Delivery of the Goods shall be made to the Buyer’s address specified in the order and the Buyer shall make all arrangements necessary to take delivery of the Goods whenever they are tendered for delivery. Failure to receive the goods may result in a penalty charge being added to the order. The Buyer shall inspect the Goods immediately upon receipt and shall notify the Seller within 5 working days of delivery confirming in writing if the Goods are incorrect or missing. If the Buyer fails to do so the Buyer shall be deemed to have accepted the Goods.

Damage in Transit

All goods should be thoroughly inspected by the recipient at the time of delivery, no goods should be signed for unless the recipient is completely satisfied that no damage has occurred during transit. The seller cannot accept liability for damaged goods sign for as good. Delivery notes signed for as ‘Unchecked’, ‘Not Checked’ etc. will not be accepted, if you suspect the goods to be damaged in transit you must refuse the delivery and contact our office.

Price and Payment

The price of the Goods shall be the Seller’s quoted price or, where no price has been quoted (or a quoted price is no longer valid) the price listed in the Seller’s published Price List current at the date of acceptance of the order. All prices quoted are valid for thirty days only or until earlier acceptance by the Buyer, after which time they may be altered by the Seller without giving notice to the Buyer. The Seller reserves the right, by giving notice to the Buyer at any time before delivery, to increase the price of the goods to reflect any increase in the cost to the Seller which is due to any factor beyond the control of the Seller such as, without limitation, any foreign exchange fluctuation, currency regulations, alteration of export duties, special taxes or charges imposed by any government, alteration of duties, significant increase in the costs of labour, materials or other costs of manufacture, increased transport costs (if carriage is included in the quoted price) any change in delivery dates, quantities, designs or specifications for the Goods which is requested by the Buyer, or any delay caused by any instructions of the Buyer or failure of the Buyer to give the Seller adequate information or instructions. Payment by the Buyer to the Seller for goods supplied are to be made within the payment terms agreed between the Seller and the Buyer. In the event of late payment by the Buyer to the Seller, the Seller reserves the right to charge interest to the Buyer at the annual rate of 3% above the prevailing base rate then quoted by NatWest Bank plc. Such interest will be calculated on a daily basis for the length of time the invoice remains unpaid beyond the agreed payment terms Unless otherwise specified prices quoted do not include Value Added Tax which will be added at the prevailing rate at the appropriate tax point.

Refund / Return Policy

Goods supplied incorrectly by the seller may be returned to the seller by the buyer and a replacement or full refund will be offered. Goods ordered incorrectly by the buyer may be returned within 28 days of purchase, a refund will be offered on the cost of the goods minus 25% handling charge, carriage / transport charges will not be refunded. Bespoke / Custom Goods ordered incorrectly by the buyer cannot be returned and no refund will be offered.

Privacy Policy

The seller does not and will not store financial details relating to credit and debit card payments, all financial details collected by way of processing credit and debit card payments will be destroyed once the transaction has been completed.
